Terms of Service

Saref (“Saref”, “we”, “us”) provides software that lets a business (“you”, the “merchant”) accept payments in person, through payment links, and through subscription checkout. These terms form a contract between Saref and the merchant account holder. Company registration details, registered address, and the governing entity name are placeholders in this template and must be completed before launch.

If you use Saref on behalf of a business, you confirm you are authorised to bind that business to these terms.

Saref is a payment orchestration and record-keeping tool. We generate Solana Pay requests, watch the chain for a matching transfer, mark orders and subscriptions as paid, issue receipts, send optional emails, and deliver signed webhooks. We also let you record cash and card takings so one ledger covers every tender.

• Saref is not a bank, money transmitter, custodian, or exchange, and does not hold merchant funds.
• Crypto payments settle directly from your customer's wallet to the wallet address you configure. We never take custody of those funds and cannot move, freeze, or recover them.
• Fiat amounts shown alongside a token amount are indicative quotes at the time the payable is created. Exchange rate movement between quote and settlement is your risk.
• The service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, and network congestion or RPC outages may delay confirmation.

As a merchant using Saref you agree that you will:

• Provide accurate business details and keep your receiving wallet address correct and under your sole control.
• Keep your account credentials, API keys, and webhook secrets confidential, and manage team member access and roles responsibly.
• Comply with all laws that apply to your business, including tax, consumer protection, anti-money-laundering, and sanctions rules in every jurisdiction you sell into.
• Only sell goods and services you are lawfully permitted to sell, and not use Saref for fraud, laundering, sanctioned parties, or any prohibited or deceptive activity.
• Give your customers clear pricing, an accurate description of what they are buying, and your own refund and cancellation terms before they pay.
• Handle your customers' personal data lawfully — you are the controller of the customer data you collect through Saref.

We may suspend or terminate an account that we reasonably believe is breaching these terms, creating legal risk, or being used fraudulently.

Saref charges a subscription fee for the plan you select. The Free plan carries usage limits; paid plans are billed monthly or yearly in advance and renew automatically until cancelled. Current prices are shown on the pricing section of our home page and in your billing settings.

• Saref does not take a percentage of your payment volume. Crypto settles directly to your wallet.
• Solana network fees are paid by whoever submits the transaction and are outside our control.
• Subscription fees are exclusive of any VAT or sales tax, which is added where applicable.
• Cancelling stops the next renewal; access continues until the end of the paid period. See our Refund Policy for what is and is not refundable.
• We may change plan pricing with reasonable prior notice, effective from your next renewal.

This is the most important clause on this page. Blockchain transfers are final. Once a customer’s transaction is confirmed on Solana it cannot be reversed, cancelled, or charged back by us, by you, by the customer, or by any third party.

• There is no chargeback mechanism. A refund is a new, separate on-chain transfer that you choose to send.
• Payments sent to the wrong address, on the wrong network, or in the wrong token may be permanently lost. Verify your receiving wallet configuration.
• Saref marks an order paid only after it observes a matching confirmed transfer, or after a staff member with sufficient permissions manually records payment. Manual overrides are your responsibility.
• You are responsible for honouring the goods or services a confirmed payment was made for, and for resolving disputes with your customer directly.
• Cash and card takings recorded in Saref are records only — settlement of those tenders happens outside the platform.

Saref and its software, branding, and documentation remain our property. You keep ownership of your business data, catalog, logo, and customer records, and you grant us the limited licence needed to host and display them in order to run the service — for example rendering your logo on a hosted pay page or receipt.

To the maximum extent permitted by law, Saref is not liable for lost profits, lost revenue, lost or irrecoverable crypto assets, exchange rate movement, or indirect or consequential loss. Our total aggregate liability is capped at the subscription fees you paid us in the twelve months before the claim. Nothing here limits liability that cannot lawfully be limited, including for fraud, death, or personal injury.

We may update these terms; material changes will be notified in-product or by email before they take effect, and continued use after that date means acceptance. You may close your account at any time from settings. On termination we retain records for the periods described in our Privacy Policy.

The governing law and jurisdiction for this agreement are placeholders in this template and must be set by counsel before launch.
